Terms of Use
RH Law Professional Corporation doing business as Signal Lawyers (“Company”) is committed to solving problems, minimizing risks and managing legal processes for business owners in Ontario.
The Company has retained Lawtrepreneur Inc. (the “Agent“) to manage its websites and other digital properties (the “Digital Properties“) including collecting monies on its behalf for products purchased using the Digital Properties.
This Terms of Use, effective May 1, 2024, is a unilateral contract with each User who either visits or uses websites or other Digital Properties operated by the Company.
Definitions
Terms in this Agreement with the initial letters capitalized, whether used in the singular or plural, shall have the meanings stated below.
Acceptance
Users agree to these Terms of Use and the accompanying Privacy Policy, which is incorporated by reference, whenever they use the Digital Properties.
If the User does not agree to any of these terms, the User should not use the products and services provided on the Digital Properties.
These Terms of Use apply to all users of the Digital Properties, including users who are contributors of video content, information, and other materials or services on the Digital Properties.
Access to Digital Properties
Users may use the Digital Properties in accordance with these Terms of Use, provided that:
- The use of the Digital Properties is solely for the User’s personal use;
- The User will not copy or distribute any part of the Digital Properties in any medium or manner inconsistent with these Terms of Use without the prior written consent of the Company;
- The User will not alter or modify any part of the Digital Properties other than as may be reasonably necessary to use the Digital Properties for its intended purpose; and
- The User will otherwise comply with these Terms of Use.
Waiver
The User may have to create an account to access some features of the Digital Properties. The User must not use another’s account without permission. The User must provide accurate and complete information upon creating an account. The User is solely responsible for the activity that occurs on the account and must keep the account password secure. The Company must be immediately notified of any breach of security or unauthorized use of the account. Although the Company will not be liable for any losses incurred by any unauthorized use of the User account, the User may be liable for the losses of the Company or others due to such unauthorized use.
The User agrees not to use or launch any automated system, including without limitation, robots, spiders, offline readers, etc., that accesses the Digital Properties in a manner that sends more request messages to the Company servers in a given period of time than a human can reasonably produce in the same period using a conventional online web browser. Notwithstanding, the foregoing, the Company grants the operators of public search engines permission to use spiders to copy materials from the site for the sole purpose of creating publicly available searchable indices of the materials, but not caches or archives of such materials. The Company reserves the right to revoke these exceptions either generally or in specific cases. The User agrees not to collect or harvest any personally identifiable information, including account names, from the Digital Properties.
The Company makes no warranty concerning the functionality of the Company software on any individual computer and expressly disclaims any and all liability for any problem which may be caused to the User’s computer or damage of any kind incurred by the User resulting from the use of the Company software.
The User hereby waives off any legal or equitable rights or remedies that may arise against the Company with respect to User’s use thereof.
Intellectual Property
The content on the Digital Properties, except for User Submissions, including the text, software, scripts, graphics, photos, sounds, music, videos, and interactive features (“Content”) and the trademarks, trade names, service marks and logos contained therein, are owned by or licensed to the Company, subject to copyright and other intellectual property rights under Canadian law and international conventions.
Content on Digital Properties is provided to the User for information and personal use only and may not be used, copied, reproduced, distributed, transmitted, broadcasted, displayed, sold, licensed or otherwise exploited for any other purposes whatsoever without prior written consent and/or payment of the applicable license fee to the Company.
The Company reserves all rights not expressly granted in and to the Digital Properties and the Content.
The User agrees to not:
- engage in the use, copying, or distribution of any of the Content other than expressly permitted herein, including any use, copying, distribution of the User Submissions of third parties obtained through the Digital Properties.
- Not to circumvent, disable or otherwise interfere with security related features of the Digital Properties or features that prevent or restrict the use or copying of any Content or enforce limitations of use of the Digital Properties or the Content therein.
User Submissions
The Company may permit the submission of videos or other communications submitted by Users, and the hosting, sharing and publishing of such User Submissions on the Digital Properties.
The Company may also establish categories for User Submissions based on intended use, such as Private where User Submissions are not shared, Invited where there is an invitation to view and/or share and Public.
Whether or not such User Submissions are published and regardless of their category, the Company does not guarantee any confidentiality with respect to any such submissions. Furthermore, the Company may place advertising on the Digital Properties in conjunction with User Submissions.
The User shall be solely responsible for the submissions and the consequences of posting or publishing them. For all User Submissions which are intended for public use, the User represents and warrants that:
- The User owns or possesses the necessary licenses, rights, consents, and permissions to use and authorise the Company to use all copyright, trademark, trade name, service mark, logos, and intellectual property and other proprietary rights in and to any and all User Submissions to enable inclusion and use of the User Submissions in the manner contemplated by the Digital Properties and these Terms of Use; and
- The User has written consent, release or permission of each and every identifiable individual person in the User Submission to use their name or likeness to enable inclusion and use of the User Submission in the manner contemplated by the Digital Properties and this Terms of Use.
- Although the User retains all ownership rights in the User Submission, by submitting the User Submissions to the Company for public use, the User hereby grants the Company a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Submissions in connection with the Company Digital Properties and the Company’s business, including without limitation for promotion and redistribution of part or all of the Company Digital Properties (and derivative works thereof) in any media formats and through any media channels,
- The User also hereby grants each user of the Company Website a non-exclusive license to access their User Submissions, if submitted for public use, through the Website, and to use, reproduce, distribute, prepare derivative works of, display and perform such User Submissions as permitted through the functionality of the Digital Properties and under these Terms of Use.
For User Submissions submitted, the User further agrees not to:
- Submit material that is copyrighted, protected by trademark or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless the User is the owner of such rights or has permission from their rightful owner to post the material and to grant the Company all of the license rights granted herein;
- Publish falsehoods or misrepresentations that could damage the Company or any third party;
- Submit material that is unlawful, obscene, defamatory, libellous, threatening, pornographic, harassing, hateful, racially or ethically offensive, or encourages conduct that would be considered a criminal offence, give rise to civil liability, violate any law, or is otherwise inappropriate;
- Post advertisements or solicitations of business;
- Impersonate another person.
The Company does not endorse any User Submission or any opinion, recommendation, or advice expressed therein, and expressly disclaims any and all liability in connection with User Submissions. All Content and User Submissions, if properly notified that such Content and User Submissions infringe another’s intellectual property rights, shall be removed. The Company has the sole discretion to decide what Content or User Submission is appropriate and complies with these Terms of Use as concerns pornography, obscene or defamatory material, or excessive length, and further reserves the right to remove Content and User Submissions without prior notice and to terminate a User’s access to the Digital Properties, if such a User is in violation of these Terms of Use. The Company reserves the right to discontinue any aspect of the Company Digital Properties at any time.
The User understands that by using the Company Digital Properties, they shall be exposed to User Submissions from a variety of sources, and that the Company is not responsible for and makes no warranties concerning the accuracy, usefulness, safety, or intellectual property rights of or relating to such User Submissions. Furthermore, the User understands and acknowledges that they may be exposed to User Submissions that are inaccurate, offensive, indecent, or objectionable, and hereby waives any legal or equitable rights or remedies that may arise against the Company thereto.
Third Party Website
Digital Properties may contain links to third party websites that are not owned or controlled by the Company. The Company assumes no responsibility for these third party websites.
By using the Digital Properties, the User expressly discharges the Company from any and all liability arising from the use of any third party website.
Warranty and Indemnity
The User agrees that the use of the Digital Properties is at their own sole risk. The Company makes no warranty concerning bugs, viruses, trojan horses, or similar problems which may be transmitted to or through the Digital Properties by any third party or concerning damage of any kind incurred resulting from the use of the Website Service. The Company does not endorse and is not responsible for any product or service advertised or offered by a third party through the Digital Properties or any hyper-linked website.
In no event shall the Company, its officers, directors, employees or agents be liable for any direct, indirect, incidental, special, punitive, or consequential damages resulting from any claim, injury or damage incurred by the User through the use of the Digital Properties, Content or Company Software.
The User agrees to defend, indemnify and hold harmless the Company, its officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debts, and expenses (including but not limited to legal fees) arising from:
- The use of and access to the Digital Properties;
- The violation of any aspect of these Terms of Use;
- The violation of any third party rights, including without limitation any copyright, property, or privacy rights;
- Any claim that one of the User Submissions caused damage to a third party; and
- This defence and indemnification obligation shall survive these Terms of Use and the use of the Digital Properties.
Governing Law
The User agrees that the law of Ontario, Canada will govern the interpretation and construction of this Agreement.
